Infrasight Media Kit

This policy sets out the terms and conditions for certain permitted displays of Infrasight Software’s ("Company") trademarks ("Marks"). By displaying Company’s trademarks as permitted, you ("You" or "Your") agree that you are subject to and will comply with the following terms and conditions:

1. You may display the Marks solely as set forth in this policy. Specifically, You may display the Marks solely for the purpose of referencing or naming Company and your partnership, affiliation, or other business cooperation with Company. No other display or use of the Marks is permitted without the express written consent of Company.
2. You shall promptly provide Company's with copies of any and all materials displaying the Marks upon Company’s request.
3. You shall not display or depict the Marks in any manner or in any materials that would tend to denigrate, disparage, tarnish, present in a false light, or otherwise reflect negatively on the Marks, the Company or any of its affiliates, or any of the Company's products or services or the Company's industry.
4. Company may revoke this permission at any time by notice to You for any reason or no reason. Company may also amend this policy at any time by notice to You for any reason or no reason, and Company may provide additional terms specific to Your display of the Marks at any time. If you do not agree to Company’s amendments, instructions, or changes, you should not display the Marks.
5. You acknowledge that Company owns all right, title, and interest in the Marks. To the extent any goodwill arises from Your display of the Marks, it shall inure to the sole benefit of Company.
6. You shall include with every display of the Mark the trademark notice provided by Company to You from time to time. Notice: INFRASIGHT is a registered trademark of InfraSight Software used with permission.
7. You acknowledge that neither the Company nor any other person has made or makes any representation or warranty, whether express, implied, statutory, or otherwise, all of which are expressly disclaimed.
8. You shall indemnify, defend, and hold harmless Company and its affiliates, and its and their respective officers, directors, employees, agents, affiliates, successors, and assigns, from and against any claims, judgments, damages, liabilities, settlements, losses, costs, and expenses, including attorneys' fees and disbursements arising from or relating to any display or use of the Marks by You and any breach by You of the terms of this letter.
9. You shall not assign or otherwise transfer any of your rights, or delegate, subcontract, or otherwise transfer any of your obligations under this policy. Any purported assignment, delegation, or transfer in violation of Section 9 is void. Company may freely assign or otherwise transfer all or any of its rights and obligations under this policy without Your consent. This policy is binding upon and inures to the benefit of the parties hereto and their respective permitted successors and assigns.
